Terms & Conditions of Sale

1. APPLICABILITY

These Terms and Conditions of Sale (“Terms”) shall apply to all sales of products (“Products”) by Zhengzhou Winsun Amusement Equipment Co.,Ltd. (Factory: Plant No.2, Cross-border Ecommerce Industrial Park, No. 335, Huanghe Road, Hightech Zone, Pingdingshan City, Henan, China) and its American Distributor, Winsun USA Inc. (Warehouse: 780 Roosevelt Unit 123 Irvine,CA 92620) (“Seller”) to the purchaser (“Buyer”). These Terms supersede all prior agreements and may only be modified in writing signed by both parties.

2. PRICE & PAYMENT TERMS

• Price as specified in the Contract

• Payment Methods: USD via cashier’s check, money order, wire transfer, or credit card

• Payment Schedule:

In-Stock Products: 100% payment upon signing

Out-of-Stock Products: 20% deposit, balance before delivery

Custom Products: 50% deposit, balance before delivery

• All deposits are non-refundable

3. SHIPPING & DELIVERY

• Shipping Terms:

China Orders: EXW Henan factory

USA Orders: FOB LA warehouse

• Risk transfers upon delivery to carrier

• Buyer responsible for all shipping costs, insurance, duties and taxes

4. QUALITY INSPECTION

• 10-day inspection period post-delivery

• Claim Process:

Notate damage on bill of lading

Submit written claim with documents within 10 days

Obtain Return Authorization before return

5. LIMITED WARRANTY

• 1-year warranty for material/workmanship defects(excludes blowers, zippers, misters)

• Exclusions:

Improper use/storage

Unauthorized modifications

Normal wear and tear

• Remedy: Repair/replacement at Seller’s discretion

5.1 Coverage

Seller warrants that new Products shall be free from defects in material and workmanship under normal use for 1 year from delivery date.

  • Included:

Material defects (e.g. fabric delamination, seam splitting)

Workmanship issues (e.g. weak sewing, print peeling)

  • Excluded:

Non-Seller manufactured parts (blowers/motors/electronics)

Wear items (zippers/Velcro/drain valves)

Considered consumables(Repair kits)

Human damage (scratches/overloading/improper storage)

5.2 Claim Process

Buyer must notify Seller in writing within 7 business days after defect discovery and ship Products to designated inspection center (freight prepaid). For validated claims, Seller covers repair/replacement and return shipping.

  • Steps:

Submit photo/video evidence

Obtain Return Merchandise Authorizatio

Mark RMA# on shipping box

Await inspection report (typically 5-10 business days)

5.3 Special Provisions

  • For Inflatable products: Buyer may self-repair holes (≤3cm diameter) using included patch kit without voiding warranty.
  • Any third-party repairs or non-OEM parts will immediately terminate warranty.

5.4 Legal Disclaimer

This warranty gives you specific legal rights, and you may also have other rights which vary by jurisdiction.

6. LIABILITY LIMITATIONS

• Seller’s maximum liability = product purchase price

• No liability for consequential/incidental/punitive damages

7. CUSTOM PRODUCTS

• 3D rendering approval required pre-production

• Buyer assumes all design risks for approved renderings

8. ORDER CHANGES & CANCELLATIONS

• Modifications require written Change Order signed by both parties

• No modifications permitted within 2 weeks of projected shipment date

• Cancellations subject to Seller approval; Buyer liable for all incurred costs plus 20% of contract value as lost profit

• Customized products cannot be cancelled after production commences

9. RETURNS& EXCHANGES

• 15-day return window for unused products

• 25% restocking fee

• Final sale: Custom, promotional, and seasonal products

9.1 15-Day Return Policy

Buyer may return Products within 15 calendar days of delivery, provided all conditions are m

  • Unused Condition:

Products must be in original, unopened packaging

All tags, manuals, and accessories included

No signs of wear, installation, or testing

  • Approval Required:

Buyer must request a Return Authorization (RA) Number from Seller

Unauthorized returns will be refused

  • Restocking Fee:

25% of product value deducted for processing/re-packaging

Example: $1,000 product → $750 refund after fee

  • Return Shipping:

Buyer pays return freight & insurance

Must use trackable service (e.g., FedEx/UPS)

C.O.D. shipments not accepted

9.2 Final Sale (Non-Returnable Items)

All sales are final for:

× Custom/Built-to-Order Products:

Includes color/design/size modifications

Exception: Defects covered under warranty

× Promotional/Clearance Items:

Discounted overstock or seasonal products

× Opened/Installed Products:

Inflated or water-tested units

Missing original packaging

× Special Orders:

Products procured specifically for Buyer

10. GENERAL PROVISIONS

• Governed by California law

• Prevailing party recovers legal fees
